All pieces are kept in original dimensions and printed on a custom fine art paper specially developed to match the texture of the original certificate. RJR Nabisco stands out as one of the most illustrative cases of the 1980s leveraged buyout (LBO) era, epitomizing the interplay of aggressive corporate strategy and high finance. Originally two separate entities, R.J. Reynolds Tobacco Company, founded in 1875, and Nabisco (formerly known as National Biscuit Company), founded in 1898, merged in 1985 to form RJR Nabisco. The real drama unfolded in 1988 when CEO F. Ross Johnson, driven by a combination of personal ambition and an aggressive leadership strategy, initiated a $17 billion leveraged buyout attempt to take the company private to tackle a declining stock price. As vividly detailed in the 1989 bestseller "Barbarians at the Gate," Johnson's lavish spending and strategic missteps set the stage for the infamous buyout, illustrating his excessive and ineffective approach to corporate leadership.
The buyout battle that ensued became one of Wall Street's most infamous contests for control. Johnson's initial offer triggered a fierce bidding war, culminating in a winning bid of $25 billion from Kohlberg Kravis Roberts & Co. (KKR), marking it as the largest LBO in history. This deal was largely financed through the issuance of over $20 billion in high-yield "junk" bonds. The high leverage left the company burdened with substantial debt, with interest payments consuming much of the company's operating income. This transaction highlighted the growing influence and capabilities of private equity in corporate buyouts, reshaping perceptions and tactics in corporate finance.
The aftermath of the LBO saw RJR Nabisco struggling under significant debt, which impacted its ability to invest in product development and market competition. KKR struggled to realize a return on its monumental investment, leading to the sale of several business units. RJR Nabisco was eventually split in 1999, with the tobacco operations spun off as R.J. Reynolds Tobacco Holdings, which later merged with Brown & Williamson in 2004, forming Reynolds American, now part of British American Tobacco. The Nabisco food business was sold to Philip Morris, which merged it with Kraft. The saga of RJR Nabisco and Johnson's excessive leadership continues to be a cautionary tale about the risks of LBOs and the burden of debt.
